Acceptance of the Terms of Use
These terms and conditions (“Terms of Use”) apply to your use of the website whizprep.com including software, applications, content, teaching and other services offered (“web properties”) by the owners of these web properties, SPNCorp Inc. (“SPNCorp” or “we”). These Terms of Use also apply to your use of other products or services that we may offer through online media such as marketplaces (our “Offerings”) that that display, reference, connect to or include our web properties. By using our web properties, you accept and agree to be bound by these Terms of Use. If you do not want to agree to these Terms of Use, you must not use these web properties.

Accessing Our Web Properties

Statement of Intent.
The content of our Offerings and web properties in no shape or form, constitute or intend to serve as a real communication media, marketing platform, sales platform, or a media outlet. All of our Offerings and content are intended to be useful business efficiency tools. SPNCorp is respectful of the rights of diverse interest groups and users. All characters, groups, and interest groups appearing in our Offerings and web properties are made of fictitious data used for simulating actual business scenarios. Any resemblance to real persons, living or dead, or companies, is purely coincidental.
Prohibited Uses
You may use the contents of our web properties only for lawful purposes and in accordance with these Terms of Use. You agree not to access or use the content for any purpose that is illegal or beyond this scope as permitted herein.
Intellectual Property Rights
The applications, software, service, content, features, functionality, logos, and all the materials featured in the web properties including design, text, images, photographs, illustrations, user interfaces, designs, audio and video material, artwork, graphic material, databases, sequence and ‘look and feel’ and arrangement of content, and legally protectable elements of this site are trademarks, domain names, brand names and artistic works and properties are the property of their respective authors and are protected by international treaties and applicable intellectual property rights that are properly protected in favor of SPNCorp and its affiliates, suppliers and/or its respective authors.
You are permitted to use the content on our web properties for your personal, non-commercial use or for legitimate business purposes related to your role as a current or prospective user of our Offerings or customers of SPNCorp.
Except as provided below, you must not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on this site or delete, or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the content. You must not reproduce, sell, or exploit any part of the content of our web properties for commercial purposes.

These Terms of Use do not apply to websites, services, software, applications, or content not owned or controlled by SPNCorp. Our web properties may provide contain links, redirect to, embed a storefront, or sharing content on third party websites and services such as service providers, storefronts and online market places. By providing such links or redirects to third party websites or services or embedding storefronts, we are not endorsing, authorizing or representing that we are affiliated with those third-party websites or services, and you are advised to read and understand the terms of use and privacy policies applicable to those third party sites and services to understand your rights governing use of the content on those sites.
Social Features of Our Offerings
When you choose to use a social feature of our applications or content, you allow us to receive information about you from social networks. If you choose to use one of our social features, you may be asked to log into a social network through our Offerings or web properties.
The social network may then provide us with information about you and your connections. The terms of use and privacy policies of these sites would govern their use of your information and your interactions with these sites.
Download Our Offerings from Marketplaces
We may also receive information about you from app stores, marketplaces or stores when you download, subscribe to, or use our Offerings. Your rights applicable to interactions within these market places shall be governed by the terms of use and privacy policies of these marketplaces.
User Contributions
We do not actively solicit or currently allow user contributions on our web properties. In the event we do, all user contributions must comply with the following content standards: must not be illegal, fraudulent, deceptive, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable, and must not consist of or contain software viruses, commercial solicitation, chain letters, mass mailings, or any form of “spam.”
Any user contributions you post on our web properties or elsewhere are considered non-confidential and non-proprietary, and you grant SPNCorp a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display the same throughout the world in any media subject to our Privacy Policy.
You represent and warrant that you own or otherwise control all of the rights to the user contributions that you post; contributions are accurate and not fraudulent or deceptive; contributions do not violate these Terms of Use or the rights (intellectual property rights or otherwise) of any third party; and will not cause injury to any person or entity. You understand that your user contributions may be copied by others and discussed on and outside of this site, and if you do not have the right to submit them, it may subject you to liability. SPNCorp takes no responsibility and assumes no liability for any content posted by you or any third party.
Linking
You may link to publicly available portions of our web properties if you do so in a way that is fair and does not damage or take advantage of our reputation. However, you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part. Our web properties must not be framed on any other website or service. We reserve the right to withdraw linking permission without notice.

SPNCorp has the right but not the obligation to monitor, verify, or curate the resources provided by third parties. Indemnification.
As users of our web sites and Offerings agree to (including the parent or the guardian of a child), you agree to protect, indemnify, hold harmless and defend SPNCorp and its officers, agents and employees against any and all claims, demands, damages, costs, expenses, attorney’s fees, expert costs and fees, or liability costs arising out of you or your child’s breach of these Terms of Use including breach of security resulting in loss or misuse of data or information.

SPNCORP makes no guarantees as to the accuracy, quality, or completeness of the information and SPNCorp shall not be responsible or liable for any errors, omissions, or inaccuracies in the information or for any user’s reliance on the information. Governing Law and Jurisdiction
Any dispute or claim by you arising out of or related to these Terms of Use (“claim”) shall be governed by the Maryland law without giving effect to any choice or conflict of law rule. Any legal suit, action, or proceeding arising out of, or related to, a claim shall be instituted exclusively in the federal courts of the United States or the courts of Maryland, in each case located in Howard County. You agree to waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Waiver and Severability
No waiver of these Terms of Use by SPNCorp at a given time shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of SPNCorp to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms of Use will continue in full force and effect.
Claims of Copyright Infringement
In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable law, SPNCorp has adopted a policy of respecting the intellectual property of others, whether or not there is any repeat infringement.
If you believe that your work has been used on our web properties in a way that constitutes copyright infringement, please submit a Notice of Alleged Infringement (“DMCA Notice”) to our Designated Copyright Agent as follows:
